Other Events.

On February 6, 2019, Fortress Transportation and Infrastructure Investors LLC (the Company) announced the pricing of its previously announced private offering of additional 6.75% senior notes due 2022 (the Additional Notes). $150.0 million aggregate principal amount of Additional Notes will be issued in the offering (upsized from $100.0 million), at an issue price equal to 98.5% of principal, plus accrued interest from and including September 15, 2018. There are $550.0 million 6.75% senior notes due 2022 outstanding as of the date hereof. The Company intends to use the net proceeds from the offering for general corporate purposes, including the repayment of outstanding revolving borrowings under the Company’s credit agreement dated as of June 16, 2017, as amended, and the funding of future investments, including aviation investments. The closing of the offering is subject to certain limited conditions.

The Additional Notes were offered in the United States to qualified institutional buyers under Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and to persons outside of the United States under Regulation S under the Securities Act. The Additional Notes will not be registered under the Securities Act or any state securities laws, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
